buildings, equipment, reputation.<\/li>\n<\/ul>\n<h5>Profile, Brand and Fundraising<\/h5>\n<ul>\n<li>Using personal and professional networks to support the executive with access to potential donors and supporters including governments, international bodies, corporates, trusts and foundations, NGOs, and individuals.<\/li>\n<li>Advice and assistance in raising, maintaining and managing War Child\u2019s brand and profile in the UK and internationally.<\/li>\n<\/ul>\n<p>In those areas, the Chair safeguards proper governance relationships between the board and the executive. \u00a0On strategy, for instance, it is normally for the executive to identify, develop and propose a strategy, while the board tests, challenges, supports and ultimately approves, rejects or qualifies the proposal in agreement with the executive.<\/p>\n<p>In addition, the Chair leads the Board in its responsibilities for:<\/p>\n<h5>Guidance and Support to the CEO<\/h5>\n<ul>\n<li>Managing the CEO\u2019s contract and performance, and conducting regular appraisal.<\/li>\n<li>Objective-setting for the CEO.<\/li>\n<li>CEO appointment, dismissal, and succession planning.<\/li>\n<li>Support and guidance to the CEO as needed on operations, including personnel management and senior management appointments.<\/li>\n<\/ul>\n<h5>Governance<\/h5>\n<ul>\n<li>High standards of governance, accountability and transparency, in order to safeguard the interests of War Child\u2019s beneficiaries and stakeholders.<\/li>\n<li>Compliance by the Board with the requirements of:\n<ul>\n<li>(i) The Memorandum &amp; Articles of Association &amp; governance documents.<\/li>\n<li>(ii) Charitable status.<\/li>\n<li>(iii) Companies House.<\/li>\n<li>(iv) Relevant charitable, company and other regulation and legislation.<\/li>\n<\/ul>\n<\/li>\n<li>Best practice on the part of the Board, with regular evaluation and benchmarking of the Board\u2019s performance, and addressing areas where practice falls short.<\/li>\n<li>Proper delegation and a healthy relationship between the Board and the executive, so that the Board:\n<ul>\n<li>(i) Holds the executive to account.<\/li>\n<li>(ii) Maintains good communication between trustees and staff without undermining the charity\u2019s senior management team and its management of the executive.<\/li>\n<li>(iii) Ensures that Board decisions are acted upon and War Child is managed in an effective manner in the interests of its beneficiaries and in accordance with strategy.<\/li>\n<li>(iv) Supports the Treasurer and Finance Director in ensuring good financial management and fundraising in line with Board policies.<\/li>\n<\/ul>\n<\/li>\n<li>Ensuring good risk management.<\/li>\n<\/ul>\n<h3>Personal Responsibility<\/h3>\n<p>The Chair takes particular responsibility, either by personal action or through delegation agreed with the board, for:<\/p>\n<ul>\n<li>The composition, balance and skills and experience of the Board, keeping it up to strength and ensuring proper trustee induction and development.<\/li>\n<li>Chairing Board meetings and AGMs, liaison with the Secretary and CEO to settle agendas, and ensuring that the business is covered efficiently and effectively.<\/li>\n<li>Maintaining a constructive and challenging relationship with the CEO.<\/li>\n<li>Representing War Child at functions, with the media, and in chair-level dealings with War Child International, as appropriate and in discussion with the CEO.<\/li>\n<li>Taking on, in consultation with the crisis management team, whatever responsibility is required in crises.<\/li>\n<li>Acting between full meetings of the board in authorising action to be taken intra vires and signing cheques and legal documents.<\/li>\n<li>Handling issues arising from the code of conduct for individual trustees, including attendance issues.<\/li>\n<li>Handling issues that may arise from the exercise of the Chair&#8217;s prerogative as directed by War Child&#8217;s policies and procedures, e.g. disciplinary procedures or ethical fundraising cases.<\/li>\n<\/ul>\n<p>The Chair works to ensure that each trustee contributes to the maximum of their potential, and leads individual trustees in their responsibility to:<\/p>\n<ul>\n<li>Show commitment to their role as Trustee and to War Child\u2019s values, upholding them personally and sharing War Child\u2019s energy and drive.<\/li>\n<li>Think strategically and identify big issues including those around War Child\u2019s long-term sustainability and reputation.<\/li>\n<li>Have a solid understanding of or interest in contemporary development issues.<\/li>\n<li>Gain respect and support for War Child from various constituencies.<\/li>\n<li>Work well with a board, communicating clearly and constructively.<\/li>\n<li>Attend regular meetings in London and play an active role in a sub-committee.<\/li>\n<\/ul>\n\t\t\t<\/div>\n\t\t<\/div>\n\t<\/div>\n<\/section>\n","protected":false},"excerpt":{"rendered":"","protected":false},"author":2,"featured_media":0,"parent":0,"menu_order":0,"comment_status":"closed","ping_status":"closed","template":"","meta":{"_acf_changed":false,"footnotes":""},"class_list":["post-10","page","type-page","status-publish","hentry"],"acf":[],"_links":{"self":[{"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/pages\/10","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/pages"}],"about":[{"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/types\/page"}],"author":[{"embeddable":true,"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/comments?post=10"}],"version-history":[{"count":12,"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/pages\/10\/revisions"}],"predecessor-version":[{"id":119,"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/pages\/10\/revisions\/119"}],"wp:attachment":[{"href":"https:\/\/micro.green-park.co.uk\/wcuk\/wp-json\/wp\/v2\/media?parent=10"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
