UKROEd Ltd is a private, not-for-profit company responsible for the delivery, management, and administration of the National Driver Offender Retraining Scheme (NDORS) on behalf of the police service. It is the operating company of The Road Safety Trust and is committed to the education and training of drivers who commit road traffic offences.

Overview of the role
We are seeking to appoint experienced and established Non-Executive Directors (NEDs) to join the UKROEd Board and support the organisation’s governance, strategic development and long-term success. We are particularly interested in individuals with expertise in:
- Audit & Risk, with strong expertise in enterprise risk management.
- People, culture and organisational development, ideally former Chief People Officers or HRD’s now operating portfolio careers.
- Policing or public service, with experience transitioning into governance or advisory roles.
The role of a NED is to make a strategic contribution to the UKROEd Board by providing independent oversight, support and constructive challenge, helping to ensure the organisation is well governed, accountable and delivering its mission effectively.
Although NEDs are not involved in the day-to-day management of the organisation, they share the same legal duties, responsibilities and potential liabilities as executive directors. They are expected to demonstrate the same level of commitment to the organisation’s success, bringing an external perspective that strengthens decision-making and governance.
NEDs contribute most effectively when they draw on substantial professional experience gained at a senior or strategic level. Prior board experience whether in the public, private or voluntary sectors is highly valuable, as is a strong understanding of governance frameworks and the responsibilities of a NED or trustee. Beyond technical expertise, effective NEDs apply sound judgement, impartiality and a commitment to continuous learning.
Terms of Appointment
- The position of NED has off-payroll working status and is paid at an annual rate of £10,000.
- Fees will be paid on a quarterly basis with invoicing and tax deduction by arrangement with the UKROEd Chief Finance Officer.
- Out-of-pocket expenses will be paid according to the UKROEd expenses policy.
- The incumbent will be subject to the company’s Conflicts of Interest and Gifts and Entertainment policies.
- The appointment of all directors is subject to approval by The Road Safety Trust, following consultation with its members.
- The NED will serve for an initial term of 3 years and will be subject to re-election if they wish to continue in the role for a maximum second term of a further 3 years.
Principal Duties and Responsibilities
| 1. | Contribute to the strategic direction of the organisation by providing creative and informed oversight on the objectives and plans devised by the Chief Executive. |
| 2. | Provide independent counsel to the Chairman, Group CEO and senior leadership. |
| 3. | Monitor executive performance and progress against organisational objectives. |
| 4. | Determine appropriate levels of remuneration of executive directors (often as part of the remuneration committee). |
| 5. | Strengthen the organisation’s external relationships by connecting the Board with relevant networks and stakeholders and act as an external representative where appropriate. |
| 6. | Ensure the integrity of financial information and that financial controls and systems of risk management are robust. |
| 7. | Provide independent oversight and leadership in Board meetings, contribute actively to the Audit & Risk Committee, and help ensure strong accountability between the organisation and its key stakeholders. |
| 8. | Ensure the organisation provides accurate and transparent reporting of its financial performance, supported by robust control mechanisms and rigorous monitoring. |
| 9. | Provide original insight and constructive challenge in Board discussions and help ensure UKROEd delivers fair outcomes for its stakeholders and the public. |
| 10. | Carry out their role in line with the Values and Behaviours framework. |
| 11. | Be proactive in familiarising yourself with the business and the regular updating and refreshing of personal skills and knowledge. |
| 12. | Have knowledge and provide insight into the areas of risk and the regulatory environment. |
| 13. | Be a strategic thinker with the ability to evaluate, challenge and contribute. |
| 14. | A strong understanding of the legal and regulatory framework in which the organisation operates, the responsibilities and liabilities of directors, and what effective governance looks like, including clarity on Board roles and responsibilities. |
