Role Description

Overall Objective

The Chair is responsible for managing the day to day business of the Board of Trustees and for providing leadership and support to the Board of Trustees so that it works effectively to fulfil its legal duties and deliver the Charity’s purpose.

Key Responsibilities Include:

Strategic Leadership and Governance

  • Chairing meetings of the Board of Trustees and, as appropriate, chair and/or attend its Committees, contributing to its role in setting the strategic direction of GHT, defining overall policy, setting targets and monitoring performance; ensuring that its decisions are implemented and that the work is consistent with the aims of the organisation.
  • Ensuring that GHT pursues its charitable and corporate objectives as set out in its constitution, complying with charity law, company law and other relevant legislation and regulations.
  • Ensuring that the Board and staff are able to regularly review risks and associated opportunities and satisfy itself that systems are in place to capitalise on opportunities and mitigate the risks
  • Managing Trustee Board performance, including establishment and maintenance of effective relationships at Board level and with the CEO and the Leadership Team.

Board Meetings, Performance and Relationships

  • Setting the content and tone of Trustee Board meetings to facilitate constructive debate and effective decision-making.
  • Ensuring regular evaluation of the Board of Trustees and its Committees and undertaking the CEO’s annual appraisal ensuring appropriate support and development where necessary.
  • Succession building and planning within the Board of Trustees and its Committees.
  • Ensuring that GHT takes appropriate steps to secure necessary resources, both material and human; that such resources are managed with due probity and dedicated exclusively to GHT’s charitable and corporate objects.
  • Ensuring that independent professional advice is taken by GHT when necessary.
  • Demonstrating visible, ethical and constructive leadership in line with the Charity’s values.
  • Promote a culture of inclusion and participation.

Stakeholder Relationships

  • Representing the Charity and its aims externally.
  • Exerting positive influence with key stakeholders and raising the Charity’s profile.
  • Safeguarding the good name and reputation of the charity.
