Role Description<\/h2>\n

Introduction<\/h2>\n

The Audit & Risk Committee\u2019s responsibilities are delegated by the Board of Futures Housing Group and are detailed within the Committee\u2019s Terms of Reference.<\/p>\n

  1. Role purpose <\/strong>
    \nThe role of the Chair is to:<\/li>\n<\/ol>\n
      \n
    • Provide leadership and direction to the Committee;<\/li>\n
    • Act on behalf of the Committee and in the best interests of the Group;<\/li>\n
    • Collaborate with the Group Chair to ensure that the Committee is comprised of members that possess an effective mix of skills and experience.<\/li>\n<\/ul>\n
        \n
      1. Responsibilities of the Chair<\/strong><\/li>\n<\/ol>\n
          \n
        • To lead, inspire and motivate the Committee;<\/li>\n
        • To ensure the efficient conduct of the business at meetings;<\/li>\n
        • To establish a constructive working relationship with the Group Chair and ensure that the Committee acts within the delegated authority of the Board;<\/li>\n
        • To build a constructive relationship with and between Committee members, internal and external auditors and the executive team in coordinating an annual plan for the Committee\u2019s activities;<\/li>\n
        • To ensure that the views of all Committee members are sought and recorded before decisions are made;<\/li>\n
        • To ensure that the Committee receives professional advice where appropriate and, when required by the Group\u2019s policies and procedures, to lead or engage with any necessary investigations;<\/li>\n
        • To undertake arrangements for the Committee\u2019s own appraisal and that of members including the Chair\u2019s own appraisal;<\/li>\n<\/ul>\n
            \n
          1. Committee Role<\/strong>
            \nThe Chair should work with other members of the Committee to oversee:<\/li>\n<\/ol>\n
              \n
            • The Group\u2019s systems of internal control and frameworks for risk management and assurance and the performance of these systems and frameworks;<\/li>\n
            • The discharging of statutory duties;<\/li>\n
            • The external audit function; and<\/li>\n
            • The internal audit function for the Group<\/li>\n<\/ul>\n

              The primary role is to ensure that these functions are effective, robust and that risk is effectively managed by the Group.<\/p>\n

              1. Committee Responsibilities <\/strong>
                \nThe Chair will support and contribute to the delivery of those responsibilities defined within the Audit & Risk Committee\u2019s Terms of Reference by;\u00a0<\/strong><\/li>\n<\/ol>\n
                  \n
                • Actively ensuring those responsibilities are met collectively;<\/li>\n
                • Adding value to the work of the Committee by contributing experience, expertise and insight;<\/li>\n
                • Acting in the best interests of the Group, and its key stakeholders;<\/li>\n
                • Participating in group decision making by contributing to debate and challenging the views of others where appropriate;<\/li>\n
                • Utilising skills and knowledge to analyse issues presented to the Committee;<\/li>\n
                • Ensuring high standards of probity and integrity in all aspects of the Group\u2019s activities;<\/li>\n
                • Applying specialist knowledge where appropriate to assist the Committee in making decisions;<\/li>\n<\/ul>\n
                    \n
                  1. Governance Duties<\/strong><\/li>\n<\/ol>\n
                      \n
                    • To uphold the values and objectives of the Group as it fulfils its governance duties;<\/li>\n
                    • To offer the Board evidence-based assurance on compliance with statutory and regulatory requirements including, but not limited to, the requirements of the Economic and Consumer Standards under the Regulatory Framework;<\/li>\n
                    • To ensure compliance with the adopted Code of Governance and Code of Conduct, Standing Orders and Financial Regulations and any Group policies relating to Committee activity;<\/li>\n
                    • To uphold the core policies, purpose, values and objectives of the Group (including its commitment to equality and diversity);<\/li>\n
                    • To contribute to and share responsibility for decisions of the Committee;<\/li>\n
                    • To attend induction, training and performance review sessions and other such sessions or events as are reasonably required;<\/li>\n
